JEDO Kouritsu Membership Terms and Conditions

 

Article 1 (Purpose of these Terms and Conditions)

The "JEDO Kouritsu" Membership Terms and Conditions (hereinafter referred to as these "Terms and Conditions") set out the terms of use established between EAST JAPAN RAILWAY TRADING CO. (hereinafter referred to as "EJRT") and all JEDO Kouritsu members (as defined in Article 2) using the digital platform “JEDO Kouritsu service (herein after referred to as the “Service”) provided by EJRT.

 

Article 2 (Definition of terms)

In these Terms and Conditions, the following terms shall have the following meanings respectively.

(1) JEDO Kouritsu member refers to all persons who have completed the registration for use of the Service by applying for use of the Service and being accepted by EJRT, and is the collective term for (2) Seller and (3) Buyer below.

(2) Seller refers a JEDO Kouritsu member who has completed the registration for use of the Service as a Seller, as described in (1) above.

(3) Buyer refers a JEDO Kouritsu member who has completed the registration for use of the Service as a Buyer, as described in (1) above.

(4) The Agreement refers the agreement between EJRT and a JEDO Kouritsu member regarding the use of the Service when the JEDO Kouritsu member has agreed to these Terms and Conditions and has applied to use the Service and EJRT has accepted the application, the terms of the Agreement are set out in these Terms and Conditions.

(5) Individual Contract refers a sales contract concluded between Seller and Buyer using the Service.

(6) Product refers a product sold and delivered by Seller to Buyer using the Service.

(7) External service refers an external service with which the Service is linked.

(8) External operator refers to the operator that provides and operates the External Service referred to in (7).

 

Article 3 (Consent to these Terms and Conditions)

1 JEDO Kouritsu members shall use the Service in accordance with these Terms and Conditions and may not use the Service unless they agree to these Terms and Conditions; the use of the Service by the JEDO Kouritsu member shall be deemed to consent to be bound by these Terms and Conditions.

2 The contents stipulated in Any agreements, terms and conditions, memorandums of understanding, etc. separately agreed between EJRT and the JEDO Kouritsu member in relation to the Service (collectively, the "Individual Provisions"), shall form part of these Terms and Conditions between the JUDO Kouritsu member and EJRT. However, in the event of any inconsistency between these Terms and Conditions and the Individual Provisions, the provisions of these Terms and Conditions shall be deemed to prevail.

 

Article 4 (Amendments of these Terms and Conditions)

1 EJRT may delete, add to, or amend these Terms and Conditions (hereinafter collectively referred to as 'Amendments') if any of the following apply.

(1) The Amendments are in the general interests of the JEDO Kouritsu members.

(2) The Amendments are not contrary to the purpose for which these Terms and Conditions were concluded and is reasonable in light of the necessity, reasonableness of the content and other circumstances relating to the Amendments.

(3) When EJRT otherwise deems it necessary to amend these Terms and Conditions.

2 If EJRT decides to amend these Terms and Conditions in accordance with the preceding paragraph, EJRT shall specify the effective date of the amended Terms and Conditions and, at least four weeks prior to the effective date of the Amendments, shall inform JEDO Kouritsu members of this fact, the content of such amendments and the effective date of such amendments in a manner prescribed by EJRT.

3 Notwithstanding the provisions of the preceding two paragraphs, if the JEDO Kouritsu member uses the Service after the effective date of the Amendments of these Terms and Conditions in the preceding paragraph, the Member is deemed to have agreed to the amendments of these Terms and Conditions.

 

Article 5 (Functions of the Service)

1 The Service provides a service to systemize the ordering and receiving operations between Seller and Buyer, and JEDO Kouritsu members shall use the Service at their own discretion and responsibility, taking into account such characteristics of the Service.

2 The Individual Contract between Seller and Buyer is concluded when Buyer makes a purchase offer to Seller using the Service and Seller accepts the offer, and EJRT shall not be involved in the Individual Contract between Seller and Buyer in any way as a contracting party and shall not be liable for any default liability or any other liability in relation to the Individual Contract.

3 In the event that the Product delivered to Buyer are defaced, damaged, incompletely packed or packaged, misrepresented, or are of a different type, quality, quantity or other contractual non-conformity, Seller shall, at its own responsibility and expense, refund, take back or replace the Product and shall not be liable for any liability whatsoever.

 

Article 6 (Application for registration and formation of the Agreement)

1 A person who wishes to use the Service as a JEDO Kouritsu member (hereinafter referred to as 'Applicant') shall agree to these Terms and Conditions and apply for the Service in accordance with the prescribed procedure, and the Agreement shall be concluded when EJRT accepts the application. In addition, persons falling under any of the following categories may not apply for use.

(1) Persons other than corporations, other organizations and individuals who sell products as a business.

(2) Persons who have provided false information when applying.

(3) Persons under 18 years of age

(4) Persons who do not have the authority to conclude the Agreement

(5) Persons whom EJRT determines that the person is Anti-Social Forces (meaning an organized crime group, a member of an organized crime group, persons for whom five years have not passed since they ceased to be a member of an organized crime group, quasi-constituents of an organized crime group, companies affiliated with an organized crime group, a racketeer group, a group engaging in criminal activities under the pretext of conducting social and political campaigns, a crime group specialized in intellectual crimes, etc. and other similar groups), or that the person is in any interaction or involvement with Anti-Social Forces, such as cooperating or being involved in the maintenance, operation or management of Anti-Social Forces through funding or other means.

(6) Persons who has previously violated these Terms and Conditions.

2 EJRT shall, within ten (10) working days (EJRT's business days) after receipt of the application in the preceding paragraph, shall send an email described an ID required for the use of the Service (hereinafter referred to as "ID"), and EJRT shall be deemed to have accepted the application by sending the Applicant the email.

3 EJRT may reject an application for use at EJRT's discretion. In this case, EJRT shall not have any obligation to disclose the reasons for the rejection.

 

Article 7 (Notification)

JEDO Kouritsu member shall promptly notify EJRT of any changes in the information provided by JEDO Kouritsu member to EJRT at the time of application for registration or otherwise, in the manner prescribed by EJRT. EJRT shall not be liable for any damage incurred in case that the JEDO Kouritsu member does not receive notifications, or other communications from EJRT to the JEDO Kouritsu member delays, due to failure of the notification.

 

Article 8 (ID management)

1 IDs shall be assigned by EJRT in accordance with the methods and conditions of use determined by EJRT.

2 JEDO Kouritsu members are responsible for managing their IDs and passwords to prevent unauthorized use.

3 JEDO Kouritsu members may not transfer, lend or disclose their IDs to third parties whatsoever.

4 EJRT shall not be liable for any damage incurred by JEDO Kouritsu member due to unauthorized use of the ID. EJRT may regard all acts of use of the Service after the ID has been authenticated as belonging to the JEDO Kouritsu member.

 

Article 9 (Handling of personal information)

1 EJRT shall handle personal information pertaining to JEDO Kouritsu members in accordance with the 'Handling of Personal Information' separately stipulated by EJRT.

2 If personal information is included in the data entered into the Service by JEDO Kouritsu member, EJRT shall not disclose this to third parties without the prior consent of the member. However, EJRT may allow a subcontractor to view the information provided to the extent necessary to carry out the subcontracted work in accordance with Article 30 (Re-consignment). In this case, EJRT shall ensure that the person carrying out such subcontracted work keeps the content of the provided information confidential.

 

Article 10 (Development and maintenance of the usage environment)

1 JEDO Kouritsu member shall, at its own expense and responsibility, set up equipment for the use of the Service under the conditions set by EJRT and maintain the environment necessary for the use of the Service.

2 JEDO Kouritsu member shall connect to the Internet using telecommunication services provided by telecommunication carriers, etc. at his/her own cost and responsibility when using the Service.

3 EJRT shall not be obliged to provide the Service if there is a malfunction in the JEDO Kouritsu member's equipment, Internet connection as specified in the preceding paragraph or the environment for using the Service.

 

Article 11 (Compliance)

1 JEDO Kouritsu members shall comply with all laws and regulations when using the Service.

2 JEDO Kouritsu members must properly register the ‘order’, ‘order confirmation’, ‘shipped’,

‘expected arrival date’, ‘inspected’, ‘enquiry’, ‘returned Products’ and other information in the system without delay. If any damage is caused to Seller, Buyer or third parties due to errors or delays, etc. in system registration, EJRT shall not be liable for the damage, and the JEDO Kouritsu member who caused it shall resolve it at his/her own responsibility and expense.

3 Seller shall comply with the following.

(1) Sellers shall not list Products that they have no intention of selling.

(2) When an Individual Contract is concluded through the Service, Sellers shall make their best efforts to deliver the Products to Buyer by the specified date in accordance with the contents of the Individual Contract.

(3) In the event of any discrepancy with the contractual content in terms of the quantity, arrival date, etc., Sellers shall promptly inform Buyers and discuss how to deal with the discrepancy.

(4) Sellers shall respond in good faith to any complaints, etc. from Buyer regarding the Products sold to Buyer using the Service.

 

Article 12 (Usage Fees)

JEDO Kouritsu members shall pay a fee determined separately by EJRT ("Usage Fee") in the manner specified by EJRT, as compensation for the use of the Service. The transfer fees and other costs necessary for the payment shall be borne by the JEDO Kouritsu member. EJRT reserves the right to review and revise the Usage Fee.

 

Article 13 (Late payment charges)

If a JEDO Kouritsu member fails to pay the Usage Fee or other charges after the prescribed payment due date, the member shall pay EJRT a late payment charge calculated at an interest rate of 14.6% per annum for the number of days from the day after the prescribed payment due date to the day before the payment date.

 

Article 14 (Method of settlement of sales proceeds)

Seller shall directly invoice Buyer for the purchase price of the Product and collect the payment for the Product at its own risk, and EJRT shall not be involved in any way in the debt collection.

 

Article 15 (Method of payment for the Product)

1 Buyer shall pay for the Product directly by the method designated by Seller, and EJRT shall not be involved in any debt collection between Seller and Buyer.

2 The inspection of the Product is deemed to have been completed when Buyer receives the Product and registers them in the system as "inspected". If "Inspected" is not registered, the inspection of the Product is deemed to have been completed three days after the "Expected Arrival Date" in the system. However, this shall not apply if Buyer notifies or contacts EJRT and Seller who sold the Product through the System within three (3) days of the "Expected Arrival Date" regarding the Product's non-arrival, defective parts, etc.

 

Article 16 (Offsetting)

1 In the event that a JEDO Kouritsu member is obliged to fulfil its obligations to EJRT (not limited to obligations under the Agreement) due to the arrival of a performance deadline, loss of benefit of time pursuant to Article 18 (Restriction of use and cancellation of registration) or Article 31 (Exclusion of Anti-Social Forces), or for any other reason, EJRT may set off any claims and obligations (not limited to obligations under the Agreement) EJRT may have against the JEDO Kouritsu member.

2 When paying off an unmatured debt as a result of the set-off in the preceding paragraph, the periodic interest rate due to the advance of the due date (the interest rate shall be the statutory interest rate on the day following the performance deadline date as stipulated in the preceding paragraph or the day following the due date that has arrived due to a loss of the benefit of time or for any other reason) shall be deducted from the amount to be paid.

 

Article 17 (Prohibited acts)

1 JEDO Kouritsu members must not engage in any of the following acts when using the Service.

(1) Acts that violate these Terms and Conditions or public order and morals.

(2) Acts that infringe the intellectual property rights, portrait rights, rights of privacy, honour or any other rights or interests of EJRT, other JEDO Kouritsu members or any third parties (including acts that directly or indirectly cause such infringement).

(3) Acts that cause or may cause disadvantage or damage to EJRT or third parties.

(4) Acts that unjustly damage or may damage the honour, rights or trust of others.

(5) Acts related to fraud or other criminal acts or acts that violate public order and morals.

(6) Acts that violate laws, regulations, ordinances or internal rules of EJRT or the industry association to which the JEDO Kouritsu member belongs

(7) Acts that obstruct or may obstruct the use of other JEDO Kouritsu members.

(8) Acts that transmit information containing computer viruses or other harmful computer programs.

(9) Acts of unauthorized access to EJRT's system, acts of cheating by using the specifications of communication equipment or other applications, such as alteration of programmed code, acts that distribute of computer viruses, or any other acts that interfere or may interfere with the normal operation of the Services.

(10) Acts of unauthorized access to the hardware or software comprising the Service, acts of cracking or other acts that interfere with the equipment, etc.

(11) Acts of alterlation of information that can be used in relation to the Service.

(12) Acts that conduct of reverse engineering, decompiling or disassembling the Service.

(13) Acts that may interfere with the operation of the Service by EJRT.

(14) Acts of using or attempting to obtain another person's ID.

(15) Acts that provide benefits to Anti-Social Forces, etc.

(16) Any other acts that EJRT deems inappropriate.

2 If EJRT determines that an act by a JEDO Kouritsu member on the Service falls under any of the items of the preceding paragraph, or is likely to fall under any of them, EJRT may delete all or part of the relevant information without prior notice to the JEDO Kouritsu member. EJRT shall not be liable for any damage caused to JEDO Kouritsu members as a result of measures taken by EJRT in accordance with this article.

 

Article 18 (Restriction of use and cancellation of registration)

1 If EJRT determines that a JEDO Kouritsu member falls under one of the following items, EJRT may restrict the Member's use of all or part of the Service or cancel the Member's registration as a JEDO Kouritsu member without prior notice.

(1) If the member violates any of the provisions of these Terms and Conditions.

(2) If it is found that there are false facts in the registration details.

(3) If the payment of the Usage Fees is delayed.

(4) If the Service is used or attempted to be used for a purpose or in a manner that may cause damage to EJRT, other JEDO Kouritsu members, external operators or other related third parties

(5) If the JEDO Kouritsu member is subject to seizure, provisional seizure, auction, tax delinquency disposition, or other disposition by public authority, or if a petition is filed for the commencement of bankruptcy proceedings, civil rehabilitation proceedings, or corporate reorganization proceedings, etc.

(6) If the business of JEDO Kouritsu member is suspended, or the business license or business registration is revoked by the supervisory authority.

(7) If a resolution is passed to transfer, split, abolish or change all or a significant part of the business, or to dissolve the company without a merger, or if the company enters into liquidation or private liquidation proceedings.

(8) If a bill or cheque drawn or accepted by the JEDO Kouritsu member itself is dishonored, if a transaction is suspended due to insolvency of electronically recorded receivables more than twice within six months under the insolvency disposition system, or if the JEDO Kouritsu member otherwise ceases to make payments or becomes insolvent.

(9) If the JUDO Kouritsu member is no longer authorized to enter into the Agreement, such as in the case of death or lack of decision-making capacity.

(10) If the Service has not been used for more than four months and there has been no response to communications from EJRT.

(11) If the JEDO Kouritsu member is no longer able to receive services or cooperation from the external operator due to a violation of the terms of use of the external service or for any other reason.

(12)Any other events that EJRT deems the use of the Service of the JEDO Kouritsu member to be inappropriate.

2 EJRT shall not be liable for any damage caused to JEDO Kouritsu member as a result of actions taken by EJRT in accordance with this Article.

3 In the event of any of the items listed in paragraph 1, the JEDO Kouritsu member shall naturally lose the benefit of time with regard to all debts owed to EJRT and must immediately pay all debts owed to EJRT.

4 Even if the Agreement is terminated due to cancellation of registration or other reasons, EJRT shall not be obliged to refund the Usage Fees received from the member in question.

 

Article 19 (Change, suspension, etc. of the Service)

1 EJRT may change or add to the Service, in whole or in part, without prior notice to JEDO Kouritsu members. However, EJRT does not guarantee that all functions and performance of the Service prior to the change or addition will be maintained as a result of such change or addition.

2 EJRT may suspend or discontinue all or part of the Service without prior notice to JEDO Kouritsu members in the event of any of the following items.

(1) If EJRT inspects or maintain the computer system for the Service on a regular or urgent basis.

(2) If computers, communication lines, etc. are suspended due to an accident.

(3) If the Service cannot be operated due to force majeure, such as fire, power failure or natural disasters, etc.

(4) Trouble with external services, interruption of the external service provision, etc.

(5) In any other case where EJRT reasonably determines that the suspension or interruption of the Service is necessary.

3 EJRT may terminate the provision of the Service at EJRT's convenience. In this case, EJRT shall notify the JEDO Kouritsu member at least 6 months prior to the termination of the Service.

4 EJRT is not liable for any disadvantage or damage caused to JEDO Kouritsu members as a result of this article.

 

Article 20 (Storage of information)

Even though EJRT stores order data and other information sent and received by JEDO Kouritsu member in the Service for a certain period of time for operational purposes, EJRT is not obliged to store such information, and JEDO Kouritsu member shall back up such information as necessary. In addition, EJRT shall not be liable for any damage incurred by the JEDO Kouritsu member due to the loss of such information.

 

Article 21 (Ownership of intellectual property rights)

1 JEDO Kouritsu member and EJRT confirm that all rights, including patent rights, utility model rights, design rights, copyrights and trademark rights, in relation to inventions, ideas, designs, works (including works created by EJRT for JEDO Kouritsu member at their request), trademarks, tradenames and other indications of goods or services used in business activities, and trade secrets and other technical or business information useful in business activities, belong to EJRT.

2 The JEDO Kouritsu member shall authorize EJRT to store on the host and reproduce for backup purposes the information registered by the said member in the Service and the information created on the Service and shall not exercise moral rights of authorship.

3 JEDO Kouritsu members shall represent and warrant that they have the lawful right to transmit, etc. information registered on the Service and that such information does not infringe the rights of third parties.

 

Article 22 (Disclaimer)

1 The Service is provided on an 'AS IS' basis and EJRT shall not warrant that the Service is accurate, up-to-date or useful, that it is fit for a particular purpose of JEDO Kouritsu members, that it conforms to the laws and regulations applicable to JEDO Kouritsu members or the internal rules of any industry association, that it will be continuously available or that it will be error free from defect.

2 EJRT shall not guarantee and accepts no responsibility for the accuracy of the information registered by JEDO Kouritsu members.

3 JEDO Kouritsu members use the Service at their own responsibility and EJRT shall not be liable for any damages incurred by JEDO Kouritsu members arising from the use of the Service by JEDO Kouritsu members.

4 EJRT only provides the Service and any disputes between Seller and Buyer shall be resolved between the parties and EJRT shall not be liable for any Individual Contract between them and shall not provide any guarantee.

5 EJRT shall not be liable for any damages incurred by JEDO Kouritsu member due to any interruption, suspension, termination, unavailability or modification of the Service by EJRT, deletion or loss of information of JEDO Kouritsu members, termination of the Agreement, loss of data or breakdown or damage to equipment due to the use of the Service, or any other damages suffered by JEDO EJRT in relation to the Service.

6 EJRT shall not guarantee the linkage with external services and shall not any liability for failure of the Service to link with external services. JEDO Kouritsu members shall comply with the terms of use of external services at their own cost and responsibility, and EJRT shall not be liable for any disputes between JEDO Kouritsu members and external service providers, etc.

7 In the event of disputes arising between JEDO Kouritsu members or between JEDO Kouritsu members and third parties in the use of the Service, EJRT shall not be liable for any such disputes unless EJRT is found to have committed intentional or gross negligence. In the event that EJRT is liable for damages to a JEDO Kouritsu member, EJRT's liability shall be limited to ordinary damages and EJRT shall not be liable for incidental damages, indirect damages, special damages, future damages, lost profits or damages based on a claim for compensation from a third party.

8 In the event that EJRT is liable for compensation in accordance with the preceding paragraph, the maximum amount of compensation shall be the higher of the total amount of the Service fees actually received from the JEDO Kouritsu member in question within a period of three months prior to the time when the event of damage occurred or S$300.

 

Article 23 (Liability of JEDO Kouritsu Member for damages)

1 JEDO Kouritsu member shall indemnify EJRT for any damage caused to EJRT as a result of a breach of these Terms of Conditions or in connection with the use of the Services.

2 If a JEDO Kouritsu member receives a claim from or has a dispute with another JEDO Kouritsu member or any other third party in relation to the Service, the JEDO Kouritsu member shall immediately notify EJRT of the details of the claim or dispute, and shall handle the claim or dispute at the member's expense and responsibility, and, upon request from EJRT, report the progress and results to EJRT.

3 If EJRT receives a claim from another JEDO Kouritsu member or any other third party for infringement of rights or any other reason in connection with the use of the Service by a JEDO Kouritsu member, the member who is the cause of the claim shall indemnify EJRT for the amount paid by EJRT to such third party based on such claim. However, this shall not apply if the claim is caused by EJRT's intent or negligence.

 

Article 24 (Notification or communication)

Notices or communications between JEDO Kouritsu members and EJRT (including notifications of changes to these Terms and Conditions) shall be made in a manner determined by EJRT.

 

Article 25 (Transfer of rights and obligations)

1 JEDO Kouritsu members shall not assign, transfer, grant security over or otherwise dispose of their position under these Terms and Conditions or their rights or obligations under these Terms and Conditions to a third party.

2 In the event that EJRT transfers the business of the Service to another company (regardless of the form of business transfer, company split or any other form), EJRT may transfer the status under the Agreement, rights and obligations under these Terms and Conditions, registration details and other information relating to JEDO Kouritsu members to the transferee of such business transfer, JEDO Kouritsu members shall agree in advance in this paragraph to such business transfer.

 

Article 26 (Severability)

1 If any provision or part of these Terms and Conditions is found to be invalid or unenforceable, such finding shall not affect the other parts, and the remaining parts of these Terms and Conditions shall remain valid and enforceable. EJRT and JEDO Kouritsu members shall endeavor to ensure that such invalid or unenforceable provision or part has the same effect and agree to be bound by the amended Terms and Conditions.

2 If any provision or part of the Agreement is found to be invalid or unenforceable in relation to a JEDO Kouritsu member, this shall not affect its validity or otherwise in relation to other members.

 

Article 27 (Confidentiality)

1 EJRT or JEDO Kouritsu member shall not, without the consent of the other party, disclose or divulge to any third party or use for any purpose other than the purpose of the Agreement, any business or technical information of the other party which has come to its knowledge in connection with the Agreement and the Services and which the other party has expressly stated is confidential ("Confidential Information"). However, the following information shall be excluded from the scope of Confidential Information, provided that the party receiving the disclosure can establish the basis in writing for such disclosure.

(1) Information already in its possession at the time of disclosure.

(2) Information that has been legitimately obtained from a third party after the disclosure without any obligation of confidentiality.

(3) Information that has been independently obtained or created after receiving the disclosure, irrespective of the information disclosed by the other party

(4) Information that was already in the public domain at the time of disclosure

(5) Information that became public knowledge for reasons beyond its control after it was disclosed.

2 EJRT and JEDO Kouritsu members shall use Confidential Information only for the purpose of providing or using the Services and shall not provide, disclose or divulge the other party's Confidential Information to third parties without the other party's written consent.

3 Notwithstanding the provisions of the preceding two paragraphs, EJRT and JEDO Kouritsu members may disclose Confidential Information in accordance with any order, request or demand of any law, court or government authority. However, in the event of such an order, request or demand, the other party shall be notified to that effect as far in advance as possible. Even if prior notification is difficult, the other party shall be notified promptly after the disclosure.

 

Article 28 (Use of information)

1 EJRT may use the information registered by the JEDO Kouritsu member at the time of registration for the various guidance of the Service regarding the use of the Service.

2 EJRT may use (including, but not limited to, reproduction, copying, modification and sublicensing to third parties) all information registered or transmitted by JEDO Kouritsu members using the Service (including information related to orders placed and received) to the extent necessary to provide the Service, advertising and other marketing and develop new EJRT new businesses. The JEDO Kouritsu member agrees that EJRT may continue to use such information free of charge and after the termination or cancellation of the Agreement by the member.

3 EJRT may, at its discretion, use, publish or, provide and disclose to third parties’ information, data, etc. provided by JEDO Kouritsu members to EJRT as statistical information in a form that does not identify individual members, and JEDO Kouritsu members shall not object to this.

 

Article 29 (Publication of case studies)

1 The JEDO Kouritsu member agrees that EJRT may publish the member's name as an example of the introduction of the Service.

2 The JEDO Kouritsu member shall grant EJRT free of charge permission to use the JEDO Kouritsu member’s logo and trademark, etc. to the extent necessary for the publication in accordance with the preceding paragraph.

 

Article 30 (Sub-contract)

EJRT may sub-contract all or part of the work relating to the provision of the Services to third parties at EJRT's own risk.

 

Article 31 (Exclusion of Anti-Social Forces)

1 JEDO Kouritsu members (including, in the case of a legal entity, officers and employees, persons acting as their own agents or intermediaries, their main investors or persons substantially involved in their management) shall ensure that they are not Anti-Social Forces.

2 If a JEDO Kouritsu member is found to be an Anti-Social Forces or to fall under any of the following items, EJRT may immediately suspend the member's use of the Service, terminate the Agreement and cancel the registration without any notice.

(1) When Anti-Social Forces are deemed to control management.

(2) When Anti-Social Forces are deemed to be substantially involved in the management

(3) When it is deemed that Anti-Social Forces have been used unfairly, for example, for the purpose of gaining unfair advantage for oneself, one's own company or a third party, or for the purpose of inflicting damage on a third party.

(4)When it is deemed that the member is involved in Anti-Social Forces by providing funds or other benefits to them.

(5) When the member has a socially reprehensible relationship with Anti-Social Forces.

3 If a JEDO Kouritsu member commits any of the following acts by himself/herself or by using a third party, EJRT may immediately suspend the member's use of the Service and terminate the Agreement without requiring any notice.

(1) Acts of violent demanding

(2) Acts of unreasonable demands beyond legal responsibility

(3) Acts of threatening or violence in connection with transactions.

(4) Acts of spreading rumors, using false information or force to damage the reputation or credibility of the other party or obstruct the other party's business.

(5) Any other acts similar to the preceding items.

4 In the event that EJRT terminates the Agreement in accordance with the provisions of the paragraphs of this Article, EJRT shall not be required to compensate or indemnify the JEDO Kouritsu member for any damage incurred, and if EJRT suffers damage as a result of such termination, the member shall compensate EJRT for such damage.

5 In the event that EJRT cancels the Agreement in its entirety in accordance with the provisions of this Article, the JEDO Kouritsu Member shall naturally forfeit all debts owed to EJRT and shall immediately pay the full amount of the debt.

 

Article 32 (Withdrawal from membership)

A JEDO Kouritsu member may terminate the use of the Service as of the desired date of termination by cancelling his/her registration in the manner prescribed by EJRT at least one month prior to the desired date of termination. If there are any unfulfilled obligations as of the date of the desired termination, the provisions of these Terms and Conditions and the individual provisions shall remain in force until the fulfilment of such obligations is completed.

 

Article 33 (Term)

1 The period of use of the Service by a JEDO Kouritsu member shall be from the date of completion of registration for use in accordance with Article 6 (Application for registration and formation of the Agreement) to the date of cancellation of registration for use in accordance with Article 18 (Restriction of use and cancellation of registration) and Article 31 (Exclusion of Anti-Social Forces), the date of withdrawal from membership in accordance with Article 32 (Withdrawal from membership ), or the date of termination of membership in accordance with Article 19 (Change, suspension, etc. of the Service), whichever occurs first.

2 If there are unfulfilled Individual Contracts at the time of termination of the Agreement in accordance with the preceding paragraph, the Agreement shall still apply to such Individual Contracts.

 

Article 34 (Waiver)

The failure of either party to enforce or require strict compliance with any provision of the Agreement shall not in any way be construed as a waiver of such provision, nor shall it affect the right of such party to subsequently enforce such provision or any other provision of the Agreement, and it shall not be construed as a waiver of such provision or affect the right of such party to subsequently enforce such provision or any other provision of the Agreement.

 

Article 35 (Rights of third parties)

Unless otherwise expressly provided in these Terms and Conditions, no person who is not a party shall be entitled to enforce or benefit from any provision of these Terms and Conditions under Chapter 53B, Contracts (Rights of Third Parties) Act, Singapore.

 

Article 36 (Governing law and jurisdiction)

These Terms and Conditions shall be governed by Singapore law and any disputes arising out of or in connection with these Terms and Conditions shall be subject to the exclusive jurisdiction of the Singapore courts.

 

Article 37 (Consultative Settlement)

EJRT and JEDO Kouritsu members shall, in the event of any matter not stipulated in these Terms and Conditions or any doubt arising as to the interpretation of these Terms and Conditions, promptly resolve the matter through mutual consultation in accordance with the principle of good faith and belief.
